LeaseLark Referral Program – Terms of Service

These Terms of Service (“Terms”) govern participation in the LeaseLark Referral Program (“Program”) operated by LeaseLark, Inc., a Delaware corporation (“LeaseLark,” “we,” “us,” or “our”). By enrolling in or participating in the Program, you (“Referrer,” “you,” or “your”) agree to these Terms.

1. Definitions

• 1.1 Referral – A new customer referred to LeaseLark through your unique referral link.
• 1.2 Active Referral – A Referral that (a) signs up for a paid LeaseLark subscription plan, (b) remains current on payments, and (c) is not delinquent, suspended, canceled, or identified as fraudulent.
• 1.3 Commission – The percentage of subscription license fees earned by you under this Program, as described in Exhibit A.
• 1.4 Program – The LeaseLark Referral Program as described in these Terms.

2. Referrer Responsibilities

You agree to promote LeaseLark lawfully, truthfully, and without misrepresentation. You may not:

• Send spam, unsolicited messages, or engage in deceptive advertising.
• Bid on LeaseLark trademarks, brand names, or domain names in search engines.
• Present yourself as an employee, agent, or official partner of LeaseLark.

You must comply with all applicable laws, including marketing, advertising, and privacy regulations.

3. Program Operation

• 3.1 Referral Tracking – LeaseLark will provide you with a unique referral link. Referrals are tracked through cookies, APIs, or platform-based tracking. LeaseLark is not responsible for lost or untracked referrals caused by user error, ad blockers, or technical failures.
• 3.2 Eligibility – Only Referrals that (a) sign up using your tracking link, (b) purchase a paid subscription plan, and (c) remain active and current on payments, will qualify as Active Referrals.
• 3.3 Payouts –
  • Commissions are calculated monthly and paid the following month.
  • Payments will only be issued once your total earned commissions equal or exceed $50 (USD). Balances below this threshold will roll over until the next payout cycle.
  • Payments are subject to applicable tax withholdings and compliance with Section 9.
  • No Payment for Fraud – Referrals deemed fraudulent, generated through prohibited methods, or in violation of these Terms will not qualify for commissions.
  • Clawback Rights – LeaseLark reserves the right to withhold, offset, or claw back commissions previously paid if a Referral is later determined to be fraudulent, canceled, ineligible, or otherwise non-compliant with these Terms.

4. Commissions

• Commissions apply only to subscription license fees (monthly subscription payments). Add-ons, third-party services, and payment processing fees are excluded.
• Commissions are earned for up to twelve (12) months per Active Referral.
• Commission percentage is determined by your tier level in Exhibit A.
• LeaseLark may adjust payout tiers or rates with thirty (30) days’ written notice.

5. Term and Termination

• These Terms are effective upon acceptance and continue until terminated.
• Either party may terminate with thirty (30) days’ written notice.
• LeaseLark may terminate immediately if you breach these Terms, misuse LeaseLark’s brand, or engage in fraud or unlawful conduct.
• Upon termination, unpaid commissions for valid Active Referrals accrued prior to termination will still be paid (subject to completion of all compliance and tax documentation, meeting the minimum payout threshold, and not being subject to clawback).

6. Indemnification

You agree to defend, indemnify, and hold harmless LeaseLark, its affiliates, officers, directors, employees, and agents from any claims, damages, or liabilities arising from:

• Your participation in the Program.
• Your marketing practices or representations.
• Your violation of applicable laws.

7. Limitation of Liability

• LeaseLark shall not be liable for indirect, incidental, or consequential damages, including lost profits or goodwill.
• LeaseLark’s total liability under these Terms shall not exceed the commissions paid to you in the three (3) months before the claim.

8. Miscellaneous

• Independent Contractor – You are an independent contractor, not an employee or partner of LeaseLark.
• Governing Law – These Terms are governed by Delaware law, with exclusive jurisdiction in Delaware courts.
• Assignment – You may not assign participation in the Program without LeaseLark’s consent.
• Entire Agreement – These Terms (including Exhibit A) constitute the entire agreement between you and LeaseLark.
• Severability – If any provision is invalid, the rest remain enforceable.
• Modifications – LeaseLark may update these Terms with thirty (30) days’ notice. Continued participation constitutes acceptance of updates.

9. Tax & Compliance Requirements

• 9.1 W-9 Requirement – U.S. participants must provide a completed IRS Form W-9 before receiving any payments.
• 9.2 Government Identification – A valid government-issued photo ID is required to verify identity before payments are issued.
• 9.3 Non-U.S. Participants – Non-U.S. participants may be required to provide IRS Form W-8BEN or other applicable tax documentation in place of a W-9.
• 9.4 Withholding – LeaseLark may withhold taxes or payments as required by law until proper documentation is received and validated.
• 9.5 Compliance Hold – Payments will not be released until all required tax and compliance documentation is submitted, verified, and approved.
• 9.6 Minimum Payment Threshold – Payments will only be issued once the Referrer has accumulated at least $50 USD in earned commissions. Earnings below this amount will carry over until the threshold is met.
• 9.7 Clawback Enforcement – LeaseLark may deduct or reclaim prior commission payments if a Referral is later disqualified due to fraud, cancellation, chargeback, or other ineligibility.
• 9.8 Catch-All Compliance – LeaseLark reserves the right to request additional documentation or information to comply with federal, state, or international laws and regulations. Failure to provide requested information may result in delayed or forfeited payments.

Exhibit A – Commission Tiers

Notes: Only subscription license fees qualify. Payouts are made monthly via LeaseLark’s designated payment method. Program terms are subject to change with notice. All payouts require compliance with Section 9.
